Payment of Share Capital

What is the Procedure for Calling the Additional Payment of Share Capital? Under Thai Corporate Law, at the time of incorporating a private company limited, the first payment of share capital called by the Board of Directors must not be less than twenty-five percent of the par value of the registered share capital.

After incorporation, the Board of Directors may issue a resolution to call the additional payment of share capital to support the company’s operations. The Board of Directors must send the notice at least twenty one days in advance by registered mail to all shareholders.

A shareholder that has not paid up the share capital within the date set by the Board of Directors will be charged interest and/or the shares may be forfeited.
