Period of Submission of the List of Shareholders

The director of a company has a duty to file the updated list of shareholders to the registrar of the Ministry of Commerce (‘MOC’) at least once a year but no later than 14 days from the date of holding the Annual General Meeting of Shareholders.

However, in the past, the MOC has in practice allowed the list of shareholders to be submitted together with the audited financial statements (which have to be filed with MOC within 1 month from the date of holding the AGM)We note that the MOC has been applying the law more strictly this year. Companies that do not file the shareholder list within the prescribed time period will be subject to a penalty of Baht 2000 per authorized Director.
