Mazars Thailand Legal Update – October 2010 Part 2

Generally, unless otherwise provided by laws or regulations, a company’s authorised director(s) can issue a Power of Attorney to empower any person to sign documents on behalf of the company.

However, there are certain documents for which a Power of Attorney cannot be granted:

  • Application forms for registration of any changes of the company with the Department of Business Department;
  • Minutes of the Board of Directors’ Meeting;
  • Minutes of the Shareholders’ Meeting;
  • Share certificates;
  • Audited financial statements;
  • Form for submission of the audited financial statements;
  • Half year corporate income tax return (PND 51); and
  • Annual corporate income tax return (PND 50).
